Terms of Service

Please read these Terms of Service carefully before using PayEve. By accessing or using the Service, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and PayEve ("Company", "we", "us", "our") governing your access to and use of the PayEve platform, including our website at payeve.app, all associated services, APIs, and tools (collectively, the "Service").

We may update these Terms from time to time. Continued use of the Service after any updates constitutes your acceptance of the revised Terms. We will notify you of material changes as described in Section 11.

2. Description of Service

PayEve is an online event payment and registration platform that enables event organizers and online teachers ("Organizers") to:

  • Create payment links for events, workshops, courses, and similar gatherings
  • Accept full payments or deposits from event attendees ("Attendees")
  • Automatically track registrations, payment status, and outstanding balances
  • View a real-time dashboard of paid attendees and total revenue
  • Send automated email reminders for unpaid registrations and deposit balances

PayEve facilitates payment processing through Stripe. PayEve is not a bank, payment processor, or financial institution. All financial transactions are processed by Stripe in accordance with their terms of service.

3. Account Registration and Responsibilities

3.1 Account Creation

To use PayEve as an Organizer, you must create an account by providing accurate, complete, and current information including your name, email address, and a secure password. You agree to maintain and promptly update your account information to keep it accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Use a strong, unique password that meets our minimum security requirements
  • Not share your account credentials with any third party
  • Immediately notify us at janmaciejewski470@gmail.com of any unauthorized use of your account

PayEve is not liable for any loss or damage arising from your failure to comply with these security obligations.

3.3 Eligibility

You must be at least 18 years old to create an account. By registering, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement.

3.4 Stripe Connect

To receive payments from Attendees, you must connect a Stripe Express account through the PayEve settings. You agree to comply with Stripe's Terms of Service and Connected Account Agreement. PayEve cannot process payments on your behalf until Stripe onboarding is complete.

4. Payment Terms and Fees

4.1 PayEve Service Fee

PayEve charges a service fee of $1.00 USD plus 6% of the transaction amount per payment processed. This fee is automatically deducted from each transaction before the net amount is disbursed to your connected Stripe account.

Example: If an attendee pays $100, PayEve deducts $7.00 (6% + $1.00) and you receive $93.00. There are no monthly subscriptions, setup fees, or other recurring charges.

4.2 When Fees Are Charged

Fees are charged only when a payment is successfully completed by an Attendee. No fee is charged for:

  • Creating an account
  • Creating events or payment links
  • Events with no successful payments
  • Registrations that are not associated with a completed payment

4.3 Stripe Processing Fees

In addition to the PayEve service fee, Stripe charges its own payment processing fees (typically ~2.9% + $0.30 per transaction in the US, subject to Stripe's current pricing). Stripe fees are separate from PayEve fees and are governed by your Stripe account agreement.

4.4 Payouts

Your net revenue (after PayEve and Stripe fees) is paid directly to your connected Stripe account on Stripe's standard payout schedule (typically 2 business days after a successful payment in the US, subject to Stripe's terms and any applicable holds).

4.5 Refunds

Organizers are solely responsible for setting and communicating their own refund policies to Attendees. PayEve does not mandate any specific refund policy. If you choose to issue a refund to an Attendee:

  • The refund must be issued directly through your Stripe dashboard
  • PayEve's service fee of $1 + 6% is non-refundable once a transaction has been processed
  • Stripe may or may not refund its processing fee depending on your Stripe account terms

4.6 Taxes

You are solely responsible for determining, collecting, and remitting any applicable taxes (including VAT, sales tax, or other indirect taxes) on payments you collect through PayEve. PayEve does not calculate, collect, or remit taxes on your behalf.

5. Prohibited Uses

You agree not to use PayEve to:

  • Conduct fraudulent transactions, process stolen credit cards, or engage in money laundering
  • Sell, facilitate, or promote illegal goods or services
  • Collect payments for events that will not take place or that you do not have authority to organize
  • Impersonate another person, organization, or entity
  • Collect payments for any product, service, or activity prohibited by Stripe's Restricted Businesses list
  • Use automated bots or scrapers to access the Service
  • Attempt to bypass, disable, or circumvent any security feature of the Service
  • Spam, harass, or send unsolicited communications to Attendees beyond what is reasonably necessary for event communication
  • Use the Service in a way that violates any applicable local, national, or international law or regulation

Violation of these prohibitions may result in immediate account termination and may be reported to relevant authorities.

6. Intellectual Property

6.1 PayEve's IP

The PayEve platform, including its software, design, trademarks, logos, and all content created by PayEve, is owned by PayEve and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

6.2 Your Content

You retain ownership of all event content, descriptions, and other materials you upload or create on PayEve ("Your Content"). By posting Your Content on PayEve, you grant us a non-exclusive, worldwide, royalty-free license to store, display, and transmit Your Content solely as necessary to provide the Service.

You represent and warrant that Your Content does not infringe the intellectual property rights of any third party and that you have all rights necessary to grant the above license.

7. Disclaimers and Limitation of Liability

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAYEVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL PAYEVE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO PAYEVE IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.

7.3 Indemnification

You agree to indemnify, defend, and hold harmless PayEve and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting us at janmaciejewski470@gmail.com. Upon termination, your access to the Service will cease, and your data will be retained and then deleted per our Privacy Policy.

8.2 Termination by PayEve

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent activity, or if required to do so by Stripe or applicable law.

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Any outstanding fees owed to PayEve remain payable. Sections 4 (Payment Terms), 6 (Intellectual Property), 7 (Disclaimers and Liability), and 9 (Governing Law) survive termination of these Terms.

9. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, conducted in the English language in Delaware, USA.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration against PayEve.

10. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PayEve regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. PayEve may freely assign or transfer these Terms.

11. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will:

  • Update the "Effective date" at the top of this page
  • Send an email notification to registered account holders at least 14 days before the changes take effect
  • Display a prominent notice within the PayEve dashboard

If you do not agree to the revised Terms, you must stop using the Service before the effective date of the changes. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
